Holding company corporate tax UAE: dividends, gains and structure

A UAE holding company often receives most of its income as dividends and share gains, which the corporate tax law can exempt. That does not mean nothing to do. The holding company still registers, files, keeps records and may be caught by interest limits, transfer pricing and audit rules. This guide covers the main points for a mainland or free zone holdco that owns trading subsidiaries in the UAE and abroad.

Income that is usually exempt

Dividends from UAE resident companies are exempt under Article 22. Dividends from foreign companies, and certain gains on shares, are exempt where the holding is a participating interest under Article 23: generally 5% or more, held for at least 12 uninterrupted months, in a company taxed at a rate not less than 9%, with matching profit and liquidation rights.

A holdco with only exempt income can end up with zero taxable income, but it still files. Its costs, such as management fees and interest, need careful thought because they relate to exempt income.

Points that catch holding companies

Typical issues to review with an adviser:

  • Interest on acquisition debt: net interest is deductible up to 30% of adjusted accounting earnings above the ministerial de minimis (Article 30).
  • Management charges to subsidiaries: related party pricing must be arm's length (Article 34).
  • Loans to and from subsidiaries: document terms and interest so they can be tested.
  • Loss utilisation: a holdco with losses cannot use them against subsidiaries' profits unless a tax group or loss transfer rule applies.

Free zone holding companies

Holding shares and other securities for investment purposes is a qualifying activity under Ministerial Decision No. 265 of 2023. A free zone holdco that meets every qualifying free zone person condition can pay 0% on qualifying income, but it must keep adequate substance and audited financial statements. If the holdco also owns property it rents out, owning or exploiting immovable property is generally an excluded activity, which may affect the de minimis test.

Forming a tax group with UAE subsidiaries is another option where ownership reaches 95%, letting intra-group dividends and charges drop out of the consolidated computation.

Running a holdco ledger in HelloBooks

The Business plan keeps each entity on its own ledger while giving the group one view. The AI agent records dividend advices and intercompany loan interest, tags each to the investee, and keeps the board resolutions attached. Ask "show dividends received and intercompany interest by subsidiary for 2025" before your tax agent prepares the exempt income schedule. If your group wants a specific consolidation or exempt income report, book a call at /book-a-demo.

FAQ

Frequently asked questions

Does a holding company with only dividends need to register?
A resident juridical person is a taxable person and registers, even if its income turns out to be exempt. Filing a return shows the exemption.
Can a free zone holding company be a qualifying free zone person?
Yes, if it meets all the conditions. Holding shares for investment is a qualifying activity, and audited accounts and substance are still required.
Are management fees from subsidiaries taxable?
Generally yes, as ordinary income of the holdco, and they must be priced at arm's length because the parties are related.
