What is a taxable person UAE? The VAT and corporate tax definitions

Taxable person is a defined term in both UAE tax laws, and it means something different in each. Under VAT it is anyone registered or required to register. Under corporate tax it is a resident or non-resident person subject to the tax, which covers UAE companies, some individuals in business and foreign companies with a UAE presence. A business can be one without being the other.

Definition under VAT

Article 1 of Federal Decree-Law No. 8 of 2017 defines a Taxable Person as 'any person registered or obligated to register for tax purposes'. A Registrant is a taxable person who has been issued with a TRN. So a business that crossed AED 375,000 of taxable supplies last month is already a taxable person, even before its TRN arrives.

Definition under corporate tax

Article 11 of Federal Decree-Law No. 47 of 2022 sorts taxable persons into resident and non-resident persons. The Ministry of Finance lists UAE companies and other juridical persons incorporated or effectively managed and controlled in the UAE as taxable, and the FTA's corporate tax guidance says natural persons are within scope only if they are engaged in a business or business activity in the UAE. A non-resident is taxable where it has a permanent establishment, derives State-sourced income or has a specified nexus.

The corporate tax regime applies to financial years starting on or after 1 June 2023.

Why it matters to a UAE business

A small Ajman salon with AED 250,000 of revenue is not a VAT taxable person, because it is below the registration threshold, but as a licensed business it is within corporate tax. A foreign software company selling to UAE businesses may have no corporate tax presence and no VAT registration if its customers reverse-charge. Treat the two questions separately.
