What is a permanent establishment UAE? When a foreign business becomes taxable

A permanent establishment, or PE, is the presence that makes a foreign company taxable in the UAE under corporate tax. Under Article 14 of the Corporate Tax Law it exists where the foreign business has a fixed or permanent place in the UAE through which it carries on business, or a person here who habitually acts for it with authority. Once a PE exists, the profits connected to it are subject to UAE corporate tax.

Definition

Article 14(1)(a) of Federal Decree-Law No. 47 of 2022 covers a fixed or permanent place in the State through which the business is conducted: an office, branch, workshop or site. Article 14(1)(b) covers a person who has and habitually exercises an authority to conduct business on the non-resident's behalf. Article 14(6) generally excludes an independent agent acting in the ordinary course of its own business.

The Ministry of Finance confirms that non-resident juridical persons with a permanent establishment in the UAE are within corporate tax.

Why it matters to a UAE business

PE questions come up when a foreign group sends staff to the UAE, rents desk space, or hires a local sales manager who negotiates and signs contracts. A Saudi engineering firm that keeps a project office in Abu Dhabi for a long-running contract, or a European brand whose Dubai employee concludes sales, should look at the Article 14 tests with an adviser.

For UAE businesses that work with foreign partners, PE status affects who is responsible for tax on the profits earned here and what records the foreign party will ask you for.

How HelloBooks helps

If a foreign company has a PE and must keep UAE accounts, HelloBooks can run those books as a separate entity in AED alongside the head office currency, with foreign exchange gains and losses tracked. Costs and revenue can be tagged to the PE using classes or projects, and recharges from head office recorded as intercompany entries. The AI agent captures UAE bills in Arabic or English, so local expenses are documented properly.

Groups that need a PE-specific chart of accounts or head-office reporting pack can arrange it by booking a call at /book-a-demo.
