Are dividends taxed in UAE under corporate tax? Four directions of travel

Dividends cause more confusion than almost any other item in a UAE owner's books, because the answer depends on which way the money is going. Paying a dividend does not reduce your tax. Receiving one is usually exempt. An individual shareholder generally pays nothing. A foreign shareholder faces a 0% withholding rate. Here is each case in turn, with the paperwork that keeps distributions clean.

Paying a dividend from your company

Dividends and other profit distributions to owners are non-deductible under Article 33. They come out of profit after tax, not before. A company with taxable income of AED 900,000 pays 9% of AED 525,000, which is AED 47,250, whether it distributes everything or nothing.

That makes the choice between salary and dividend for an owner-manager a real one. A salary is deductible if it is at market value; a dividend is not. But a salary above market value to an owner is a connected person payment and the excess is disallowed under Article 36.

A UAE company receiving a dividend

Under Article 22, dividends and profit distributions received from a UAE resident juridical person are exempt. There is no minimum shareholding or holding period. A Dubai company that owns 3% of a Sharjah company receives its share of the dividend free of corporate tax.

Foreign dividends are different. They are exempt only if the participation exemption in Article 23 applies: broadly 5% ownership or AED 4 million cost, a twelve-month holding, and a foreign tax rate of at least 9%. Otherwise they are taxable, with a foreign tax credit available for foreign tax paid on the income.

An individual receiving a dividend

For natural persons, corporate tax only reaches business income above AED 1 million of turnover. The FTA's guidance treats personal investment income as outside business activity. A shareholder receiving AED 800,000 in dividends from her company in Dubai is not a taxable person because of those dividends.

The UAE has no personal income tax, so in most cases the dividend arrives untaxed. Shareholders who are tax resident elsewhere should check the rules where they live.

A foreign shareholder receiving a dividend

Article 45 sets withholding tax on state-sourced income of non-resident persons at 0%. A UAE company paying a dividend to its parent in Germany or a shareholder in India withholds nothing for UAE corporate tax.

The shareholder's own country may tax the dividend, and the UAE's tax treaties can matter for that side. Keep board resolutions and payment records so the foreign shareholder can show where the income came from.

Paperwork for a clean distribution

Declare dividends by board or shareholder resolution as your memorandum of association requires, and only out of distributable profits. Record the declaration as a liability, then the payment. Avoid treating owner withdrawals during the year as informal dividends; post them to a shareholder current account and settle them by formal resolution.

Example: an Ajman manufacturing LLC with retained earnings of AED 1.4 million declares a AED 600,000 dividend split 70:30 between two partners. The ledger shows the resolution, a dividends payable liability of AED 600,000, and two bank payments of AED 420,000 and AED 180,000.

  • Board or shareholder resolution, dated and signed
  • Confirmation of distributable profits at the declaration date
  • Dividends payable posted on declaration, cleared on payment
  • Separate shareholder current accounts for personal withdrawals

Salary or dividend for an owner-manager

Owner-managers often ask which route is better. A market-rate salary reduces the company's taxable income, so at the 9% rate every AED 100,000 of salary saves up to AED 9,000 of corporate tax once profit is above AED 375,000. A dividend saves nothing at company level, but is simpler to declare and has no payroll consequences.

Example: a Dubai consultancy owned by one founder has profit before owner pay of AED 1.2 million. Paying her a market salary of AED 480,000 leaves taxable income of AED 720,000 and tax of AED 31,050. Taking nothing as salary and the same AED 480,000 as dividend leaves taxable income of AED 1.2 million and tax of AED 74,250. The salary must be genuinely at market value for the role, or the excess is added back.

How HelloBooks handles it

HelloBooks keeps dividends declared, dividends payable and shareholder current accounts as separate lines. When you upload a bank statement, the AI agent matches the payment to the declared dividend rather than posting it as an expense, and flags transfers to owners that have no resolution or claim behind them.

Ask 'how much have we distributed to shareholders this year?' and it answers from the ledger. Your accountant confirms distributable profits and reviews the shareholder accounts at year end. Firms that want a dividend workflow with approval steps can request a custom approval rule at hello@hellobooks.ai.

FAQ

Frequently asked questions

Can I reduce corporate tax by paying a dividend before year end?
No. Dividends are non-deductible distributions of profit, so paying one has no effect on taxable income.
Does the UAE charge withholding tax on dividends to foreign shareholders?
The withholding tax rate on state-sourced income of non-resident persons is 0% under Article 45, so no UAE withholding applies.
Are dividends from a free zone company to its parent exempt?
If the parent is a UAE resident juridical person, dividends from a UAE resident company are exempt under Article 22, including from a free zone company.
Is a shareholder current account debit treated as a dividend?
Not automatically, but large unexplained balances owed by owners invite questions. Clear them by formal dividend, salary or repayment, and document which.
