Do startups with no revenue file corporate tax? | HelloBooks A UAE start-up with no revenue still registers and files. Why the first returns matter, how losses carry forward and why relief can cost you.

Do startups with no revenue file corporate tax in the UAE? Yes, and here is why it helps

A pre-revenue start-up in Hub71 or Dubai Internet City usually owes no corporate tax for years. It still has to register and file. Founders often see that as paperwork for nothing. We see it differently: the early returns are where you record the losses that will shelter your first profitable years. Get the first returns right and the company can carry a tax asset worth hundreds of thousands of dirhams.

Registration and filing are not optional

A company incorporated in the UAE is a resident taxable person from its first tax period. Under FTA Decision No. 3 of 2024, a company incorporated on or after 1 March 2024 must apply for corporate tax registration within three months of incorporation. Missing that costs AED 10,000 under the penalty table, though the FTA has waived it where the first return is filed within seven months of the first tax period end.

Every registered taxable person files a return for each tax period, within nine months of its end, whether it has revenue, profit or neither.

Why the first returns are valuable

Start-ups spend before they earn. Salaries, cloud hosting, legal fees and marketing all create accounting losses. Filed correctly, those become tax losses carried forward under Article 37, with no expiry date as long as the continuity conditions are met.

Example: an Abu Dhabi health-tech company spends AED 1.1 million in 2025 and AED 1.6 million in 2026 with almost no revenue. It reaches taxable income of AED 3 million before loss relief in 2028. Losses can cover up to 75% of that, AED 2.25 million, leaving AED 750,000 taxable and tax of AED 33,750 instead of AED 236,250.

The small business relief trap

A start-up with tiny revenue qualifies for small business relief and may elect it by default. Ministerial Decision No. 73 of 2023 says losses from a period where relief is elected cannot be carried forward. In the example above, electing relief in 2025 and 2026 would wipe out AED 2.7 million of losses.

Relief is worth electing in a profitable small year. In a loss year it usually gives nothing and costs the loss. Make the choice deliberately for each period with your tax agent.

Funding rounds and the 50% rule

Losses survive only if the same persons keep at least 50% ownership from the loss year to the year of use, or, if ownership changes beyond that, the business continues the same or a similar activity. A seed round selling 20% is usually fine. A Series A and B that together take the founders below 50% bring the business continuity test into play.

Share capital and investor funding are not revenue and are not taxable income. Keep share subscriptions, convertible notes and founder loans in clearly labelled balance sheet accounts so they are not mistaken for sales.

What a good pre-revenue ledger looks like

Separate operating costs from capital items such as laptops and capitalised development where your accounting policy allows it. Record founder loans as loans with written terms. Keep grant income and accelerator awards in their own accounts so their treatment can be reviewed.

Then close each quarter. A start-up that only does its books before a funding round, or before the first return, ends up with gaps that cost more to fix than they would have cost to avoid.

  • Equity, notes and founder loans in separate balance sheet accounts
  • Operating costs by type, with documents attached
  • Capital items on the balance sheet
  • Grant and award income in its own account

Running the numbers in HelloBooks

HelloBooks gives a start-up full books without a finance team. The AI agent captures card receipts and SaaS invoices in USD or EUR, converts them to AED with FX differences tracked, and reconciles the uploaded bank statements. At year end it produces statements and a draft computation showing the tax loss for the period.

Ask 'what is our cumulative tax loss since incorporation?' and it answers from the loss schedule your accountant maintains alongside the computations. Your accountant decides on elections and files the nil return on EmaraTax. Accelerators that want a standard start-up chart of accounts across their cohort can arrange it through /book-a-demo.

FAQ

Frequently asked questions

Is a nil return still required if the company did nothing?
Yes. A registered taxable person files a return for every tax period, even with no revenue or activity.
Is investor funding taxable?
Equity subscriptions are capital, not income. Their accounting treatment, and that of convertible instruments, should be confirmed with your accountant.
Can losses from before I registered be used?
Losses from periods in which the company was a taxable person can be used, if reported in the returns. Losses incurred before corporate tax applied to the business cannot.
Should a start-up elect small business relief?
Usually not in loss-making years, because the losses would be forfeited. It can make sense in a small profitable year.
