VAT deregistration UAE: when you must cancel your TRN and how

Closing a VAT registration has its own deadline and its own penalty, separate from closing the company. If you stop making taxable supplies, or your turnover falls below the voluntary threshold, the law expects you to apply within 20 business days. Late applications cost AED 1,000 and another AED 1,000 each month after, up to AED 10,000. This guide covers the triggers, the optional route, and the final-period work your books need.

How the HelloBooks AI agent handles it

You ask in plain English, the AI does the bookkeeping work, and you or your accountant approve the result.

  • You ask: “We closed the Ajman branch in August. What is still open in the books before we deregister?”
  • The AI agent: HelloBooks lists unpaid customer invoices, open supplier bills, unreconciled bank lines and VAT on assets still on the register, and drafts a checklist ordered by what affects the final return.
  • You review: Your accountant decides the effective date, the treatment of remaining stock and assets, and submits the deregistration application on EmaraTax.

When deregistration is mandatory

Article 21(1) of Federal Decree-Law No. 8 of 2017 requires a registrant to deregister in two situations. The first is when it stops making taxable supplies. The second is when its taxable supplies over 12 consecutive months fall below the voluntary registration threshold of AED 187,500, unless the Article 17(2) exception applies.

Article 14(1) of the Executive Regulation sets the clock: you must apply within 20 business days of the event. The FTA may also act on its own. Under Article 14(4) of the Regulation it can deregister you once it is satisfied the conditions are met, and Article 14 bis lets it deregister a person whose continued registration may prejudice the integrity of the tax system.

When deregistration is optional

Article 22 of the Decree-Law lets a registrant apply if its taxable supplies over the past 12 months were below the mandatory threshold of AED 375,000. A Fujairah trading company whose sales fell from AED 520,000 to AED 290,000 after losing a contract can choose to stay registered and keep recovering input VAT, or apply to leave.

One limit applies to businesses that joined voluntarily. Article 23 says they cannot deregister within 12 months of registration.

The penalty for applying late

The amended penalty table in Cabinet Decision No. 40 of 2017 charges AED 1,000 for a late deregistration application, then AED 1,000 on the same date each month, capped at AED 10,000. A business that ceased trading in March and remembers in December can easily reach the cap.

The FTA notifies its decision and the effective date within 10 business days of deciding, under Article 14(6) of the Executive Regulation. Until then, keep the account in good order and keep filing any return that falls due.

Closing the books cleanly

The final return should reflect everything that happened up to the effective date. That usually means chasing or writing off customer balances, settling supplier bills, reconciling the last bank statements, and reviewing goods and assets still held. HelloBooks pulls those threads into one view, and the AI agent answers questions such as 'which invoices from the Ajman branch are still unpaid?' in plain English.

Keep the ledger and attachments after deregistration. HelloBooks retains the audit log, tax invoices and credit notes, so the records remain available if the FTA asks questions about earlier periods.
