DMCC corporate tax and accounting for commodity traders and service firms

DMCC, set up in 2002 and headquartered in Dubai, hosts more than 26,000 registered companies around Jumeirah Lakes Towers and Uptown Dubai. Its roots are in commodities, with centres for gold, diamonds, tea and coffee, but its members now include tech, crypto and gaming firms too. For corporate tax, the question every member faces is which income can be taxed at 0%. HelloBooks keeps that split visible in the ledger all year.

What DMCC says about its tax status

DMCC describes itself as a qualified free zone under the UAE Corporate Tax Law. That status lets a member benefit from a 0% rate on qualifying income, but only if the member itself is a qualifying free zone person. Being licensed in DMCC is the starting point, not the answer.

The FTA lists the conditions in its Free Zone Persons guide. A member must maintain adequate substance in the free zone, derive qualifying income, not elect to be taxed at the standard rates, follow arm's length rules and keep transfer pricing documentation, prepare audited financial statements, and meet the de minimis test on non-qualifying revenue.

A gold trader's year, worked through

Picture a DMCC bullion trading company with total revenue of AED 40 million. Most of it comes from wholesale trades with other traders. The FTA guide treats trading of qualifying commodities as a qualifying activity, but the definition is narrow and set out in Ministerial Decision No. 265 of 2023, so the company and its tax agent must check each income stream against it.

Suppose AED 1.5 million comes from sales to individual walk-in buyers. The FTA guide says transactions with natural persons are normally excluded activities, so that revenue is non-qualifying. The de minimis limit is the lower of AED 5 million or 5% of total revenue. Here 5% is AED 2 million, so the limit is AED 2 million and AED 1.5 million stays inside it. Had walk-in sales reached AED 2.3 million, the test would fail.

Failure has a long tail. The FTA guide says a company that stops meeting the conditions loses qualifying status for that tax period and the four that follow. Tracking the ratio monthly is far cheaper than finding out at year end.

How HelloBooks keeps the split

Each customer record carries a type you define: free zone person, mainland company, individual, or overseas buyer. When the AI agent drafts or posts an invoice, it tags the revenue line with the matching income category under your categorisation rules. A profit and loss by income category shows non-qualifying revenue at any date, so the finance manager can compare it with the de minimis limit and see a breach coming months before the auditors do.

HelloBooks does not decide what qualifies. You and your tax agent set the rules, and the agent applies them consistently and flags anything new, such as a first sale to an individual. DMCC publishes its own guidelines on audited financial statement submission and approved auditors, so check those with DMCC directly. HelloBooks gives your auditor a clean trial balance, attachments on every entry and an audit log on the Business plan.

FAQ

Frequently asked questions

Is every DMCC company taxed at 0%?
No. DMCC is a qualified free zone, but each company must meet all the FTA conditions to be a qualifying free zone person. Even then, only qualifying income is taxed at 0%; other taxable income is taxed at 9%.
Can a DMCC company use small business relief?
Not if it is a qualifying free zone person. The FTA guide says a qualifying free zone person cannot benefit from small business relief, and the 2029 extension did not change that.
Does a qualifying DMCC company get the 0% band on its first AED 375,000?
No. The FTA guide says a qualifying free zone person is not entitled to the 0% rate on the first AED 375,000 of taxable income. Its non-qualifying taxable income is taxed at 9% from the first dirham.
