Should my companies form a tax group in UAE? Weighing it with real numbers

A tax group lets two or more UAE companies file one corporate tax return as if they were a single taxable person. It sounds like an obvious simplification. For many owner-managed groups it is not, because the group gets one AED 375,000 0% band instead of one per company, and it takes on an audit requirement. Our view: form a group when losses and intra-group trading are significant, not just to save paperwork.

Who can form a tax group

Article 40 of the Corporate Tax Law allows a resident parent company and its resident subsidiaries to apply to the FTA to be treated as a single taxable person. The parent must hold at least 95% of each subsidiary's share capital, voting rights and entitlement to profits and net assets, directly or indirectly.

All members must be resident juridical persons with the same financial year and the same accounting standards. Exempt persons and qualifying free zone persons cannot be members. So a family that owns a mainland LLC and a qualifying free zone company cannot put both in one group.

What you gain

One registration and one return for the whole group, filed by the parent. Transactions between members are eliminated, so management fees, recharges and intra-group sales no longer need separate transfer pricing analysis for corporate tax inside the group. A loss in one member offsets profit in another in the same year, without the 75% transfer rules.

Do not assume an e-invoicing benefit follows. Ministerial Decision No. 197 of 2026 temporarily excludes transactions between members of the same Tax Group from e-invoicing for 24 months from 1 January 2027, but VAT groups and corporate tax groups are different things, so confirm with your tax agent which kind of group the exclusion refers to before relying on it.

What you give up: the extra 0% bands

A tax group is one taxable person, so the AED 375,000 0% band applies once to the group's combined taxable income. Separate companies each get their own band.

Worked example: a Sharjah family owns three 100% subsidiaries under one holding company, each with taxable income of AED 300,000. Filing separately, each is inside the 0% band and no tax is due. As a tax group, combined taxable income is AED 900,000 and tax is 9% of AED 525,000, which is AED 47,250 a year. Grouping costs them money.

When grouping pays

Change the facts. Company A has taxable income of AED 2.4 million and company B, a new branch of the business, makes a loss of AED 900,000. Separately, A pays 9% of AED 2,025,000, which is AED 182,250, and B carries its loss forward. Grouped, combined taxable income is AED 1.5 million and tax is AED 101,250. The group saves AED 81,000 this year rather than waiting years for B to become profitable.

Groups with heavy intra-group trading also gain, because the compliance effort on related party pricing inside the group falls away for corporate tax purposes.

Obligations that come with the group

Ministerial Decision No. 84 of 2025 requires tax groups to prepare audited special purpose financial statements. For a group of small companies that may be a new cost. The parent is responsible for the group's filings, and the law makes the group members jointly liable for the group's corporate tax for the periods they are members.

Members also need aligned year ends and accounting policies. If one subsidiary uses a 31 March year end, it must change before it can join, which involves its own application.

  • 95% ownership, voting, profit and net asset tests met
  • All members resident, none exempt or a qualifying free zone person
  • Same financial year and accounting standards
  • Audited special purpose financial statements for the group
  • Parent files one return for the group

Running the numbers in HelloBooks

The decision comes down to arithmetic on each company's expected taxable income. HelloBooks' Business plan manages multiple entities under one login, and the AI agent can produce a side-by-side view of each entity's profit and a combined view with intra-group transactions removed. Ask 'compare tax as separate companies versus a group for 2026' to see the draft calculation both ways.

Your tax agent reviews the result and makes the application on EmaraTax if grouping makes sense. If your group needs consolidation rules or elimination accounts set up specifically, book a call at /book-a-demo.

FAQ

Frequently asked questions

Can a free zone company join a tax group?
A qualifying free zone person cannot. A free zone company that is not a qualifying free zone person may join if it meets the other conditions.
Does a tax group get one AED 375,000 band or one per company?
One. The group is treated as a single taxable person, so the 0% band applies once to its combined taxable income.
Is a 75% owned subsidiary eligible?
Not for a tax group, which needs 95%. At 75% common ownership, Article 38 may allow losses to be transferred between the companies, and Article 26 may give relief on asset transfers.
Do we still need intra-group invoices if we are grouped?
Yes, for your accounting and for VAT, which has its own grouping rules. The corporate tax group eliminates intra-group transactions in the tax computation, not in each company's books.
