How to cancel VAT registration in the UAE, step by step

Businesses close, merge, sell up or shrink below the threshold. When that happens, the VAT registration does not end on its own. You must apply to deregister through EmaraTax within a set time, file a final return and settle everything owed before the FTA issues a deregistration certificate. Missing the window costs money every month. Here is the process as the FTA describes it, with the points owners usually miss.

When deregistration applies

The FTA's deregistration service lists the grounds. The common ones are:

  • The business stops making taxable supplies, for example because the licence is cancelled or sold, or a sole trader ceases business.
  • Taxable supplies fall below the AED 187,500 voluntary registration threshold.
  • Duplicate registrations, such as a second TRN created by mistake.
  • Branches or sole establishments being consolidated under one TRN.

Timing: 30 business days

The FTA states that the application must be submitted within 30 business days from when the obligation to deregister arose. The final VAT return and any payment are due 28 days after the effective date of deregistration. The FTA aims to process a complete application within 30 business days, and may ask for more documents, which can add time.

Late applications are penalised. Under Cabinet Decision No. 129 of 2025, published summaries list the late deregistration penalty as AED 1,000 for each month of delay, capped at AED 10,000.

The steps on EmaraTax

Log in to EmaraTax with UAE Pass, open the taxable person account, choose 'De-Register' under VAT actions and complete the form. Upload the documents for your ground: for a cancelled licence, the cancellation certificate or amended licence and a liquidation letter or board resolution; for falling below the threshold, a signed and stamped declaration that you will not exceed it in the next 30 days. In all cases the FTA asks for a turnover template and taxable supplies and expenses forms. The service is free.

The FTA issues the digital deregistration certificate only after the final return is submitted and approved and all tax and penalties are paid.

Worked example: closing a Dubai consultancy

A two-partner consultancy in Dubai decides to close. Its last client invoice is issued on 10 September and the licence cancellation is completed on 30 September. The obligation to deregister arises with the cancellation, so the application is due within 30 business days, by mid-November allowing for weekends and public holidays.

Before applying, the accountant clears the books: final invoices issued, last supplier bills recorded, output VAT on any business assets still held considered with the tax agent, and open receivables reviewed. The final return then reflects the true position. Leaving these until after the application often means the final return is wrong and the certificate is delayed while the FTA asks questions.

Common mistakes

Waiting for the trade licence cancellation to be 'fully done' before thinking about VAT. Forgetting to file returns for periods that end while the application is pending. Selling equipment or stock without considering VAT on the sale or on assets held at deregistration. And assuming a dormant company can simply stop filing; until deregistration is approved, returns are still due.

A quieter mistake is losing access. Owners close the company bank account, the accountant's engagement ends and nobody can log in to EmaraTax when the FTA sends a query about the final return. Keep UAE Pass access, a contact email that someone reads and a copy of the books for the record-keeping period, so questions after closure can be answered without reopening anything.

Using HelloBooks for the final period

HelloBooks helps by producing the turnover figures the FTA asks for straight from the ledger, listing open invoices and bills you need to close out, and preparing the final VAT 201 draft. Ask the AI: 'what were my taxable supplies and taxable expenses for the last 12 months, by month?' and you have the input for the turnover template. You or your tax agent submit the application and the final return on EmaraTax.

FAQ

Frequently asked questions

Can I deregister voluntarily while still trading?
If your taxable supplies fall below the AED 187,500 voluntary threshold, the FTA lists that as a ground for deregistration, with a declaration about the next 30 days. There may be other conditions; check your case.
Do I still file returns while the application is pending?
Yes. Returns for tax periods ending before the effective deregistration date remain due, and the final return is due 28 days after that date.
Is there a fee to deregister?
The FTA lists the deregistration service as free. Penalties for late application are separate.
What happens to a refund owed to me?
Refunds due on the final return are claimed through the FTA's refund process, subject to the five-year time limits that apply from 2026. Settle any refund question before the books are archived.
