Financial documents needed for UAE licence renewal, authority by authority

Licence renewal used to be an administrative chore: a form, a passport copy, a lease and a fee. Several free zones now tie renewal to financial reporting, and the trend is moving one way. If your accounts are not ready when the renewal window opens, the licence can lapse while you wait for an auditor. This post sets out what three well-known authorities ask for and how to keep the documents ready all year.

Why financial statements now appear at renewal

Corporate tax changed the picture. Free zone authorities have an interest in knowing their licensees keep proper books, since qualifying free zone person status depends partly on audited financial statements. Linking financial statements to renewal is a simple way for a zone to check that every licensee has them.

For the business, the effect is that the renewal date becomes a second year-end deadline. If your licence renews in March and your financial year ends in December, you have about ten weeks to close the books and, where required, get them audited.

IFZA: statements at every renewal

IFZA’s published FAQ says all licensees, companies and branches, must submit financial statements each year during trade licence renewal, starting from 30 September 2025. The statements cover the most recently completed financial year at the renewal date and are signed electronically by a manager, director or shareholder.

Simplified statements on IFZA’s template are allowed only where annual turnover is AED 3 million or less and the company had nine or fewer employees at any point in the year. Otherwise, full audited statements are required. Audited reports already prepared for the FTA can be reused, and any registered UAE auditor may prepare them.

DMCC and RAKEZ: different routes

DMCC sets its requirement apart from renewal: member companies upload audited financial statements within six months of each financial year end, using an auditor on DMCC’s approved list. In practice, a DMCC company that misses that upload will find it raised when it comes to renew or request services.

RAKEZ’s free zone renewal checklist is shorter. It lists passports, renewal forms, a lease where applicable, NOCs where relevant, and corporate shareholder documents. An audited report or financials appear on the checklist only for industrial licences. Commercial and service licensees should still keep audit-ready books, because corporate tax and banks will ask.

Worked example: planning around a March renewal

An IFZA consultancy has a calendar financial year, turnover of AED 4.2 million and 11 staff, so it needs audited statements. Its licence renews on 15 March. Working backwards: the auditor needs closed books by mid-January to sign by late February. That means the December bank reconciliation, payroll accruals and VAT return for the last quarter must all be done in the first two weeks of January.

If the same company had turnover of AED 2.8 million and 8 staff, it could use IFZA’s simplified template. It would still need a closed, reconciled trial balance to fill it in honestly.

Keep a renewal pack ready all year

A small folder, kept current each quarter, removes the scramble.

  • Latest signed financial statements and audit report, if any.
  • Trial balance at the last month-end.
  • Current lease or Ejari, licence copy and establishment card.
  • Passport and Emirates ID copies for shareholders and managers.
  • Beneficial owner register and shareholder register.
  • VAT and corporate tax registration certificates.

How HelloBooks keeps you renewal-ready

HelloBooks produces the profit and loss, balance sheet and cash flow from your ledger at any date, and stores licence, lease and certificate files against the company record. Ask the AI agent “what was our turnover for last financial year?” to check against IFZA’s AED 3 million line, or “what is still unreconciled for December?” before you send books to the auditor.

Your auditor still audits, and a signatory signs. HelloBooks does not file anything with a free zone. If you want a year-end pack report laid out for your auditor, the team can build it; email hello@hellobooks.ai.

FAQ

Frequently asked questions

Do mainland licences need financial statements at renewal?
Requirements vary by emirate and activity. Check with your licensing department; even where none are asked for, banks and corporate tax rules expect proper accounts.
Can my IFZA renewal use the audit I prepared for the FTA?
Yes. IFZA’s FAQ says audited reports already prepared may be submitted for renewal.
Who can audit a DMCC company?
An auditor registered with the DMCC Authority on its approved auditors list. Branches with a group auditor are treated differently under DMCC’s rules.
What happens if my accounts are late at renewal?
The authority may hold the renewal until documents arrive. Ask the zone directly about grace periods rather than assuming one exists.
