Does a Dormant UAE Company Need to Keep Books? | HelloBooks A dormant UAE company still has licence, VAT and corporate tax duties. What to keep, what to file, and when closing beats keeping a quiet company open.

Does a dormant UAE company need to keep books? Yes, and here is the minimum

Plenty of UAE companies go quiet: a project ends, the founder moves abroad, a holding company waits for its next deal. Owners assume that no activity means no obligations. It does not. The licence still renews, registrations stay live, and returns are still due. The good news is that the bookkeeping for a genuinely dormant company is small. This post explains the minimum and when it is cheaper to close.

Dormant is a fact, not a status

There is no general switch you flip with the FTA to make a company dormant. A company is dormant in practice when it has no trading income and few or no costs. Its legal duties continue for as long as it holds a licence and tax registrations.

That includes licence renewal fees and documents, the beneficial owner register, and in some free zones annual financial statements at renewal. IFZA, for example, now asks every licensee for financial statements at each renewal, active or not.

Corporate tax keeps running

A company registered for corporate tax files a return for each tax period, within nine months of the period end, even if taxable income is zero. It keeps records for seven years. A dormant company with no revenue and AED 14,000 of licence and audit costs still files, showing a small loss that may be carried forward under the rules.

If the company has elected or may elect small business relief, it still files the return to make the election. Treat the filing date as fixed: a zero-tax return is still a return the FTA expects to receive on time.

VAT: nil returns or deregistration

A VAT-registered company that stops making taxable supplies still files its returns, usually nil returns, until it deregisters. The FTA expects a business to apply for deregistration when it stops making taxable supplies or falls below the thresholds; check the current conditions and time limits on the FTA site or with your tax agent.

A common mistake is to stop filing because there is nothing to report. The return is still due, and the FTA’s penalty rules for late filing are worth reading before assuming a nil return can wait.

Watch out for small receipts that are not as dormant as they look. A company that still sublets a desk for AED 2,000 per quarter, or recharges a related company for shared costs, is making supplies. Those may be taxable and need to appear on the return. Before calling a company dormant, list every credit on the bank statement for the past year and ask what each one was.

The minimum bookkeeping

For a company that truly does nothing, these entries and records are enough.

  • Monthly or quarterly bank reconciliation, even if the only lines are bank charges.
  • Licence, audit and registered office costs recorded as they are paid, usually by the owner.
  • Owner payments on the company’s behalf credited to the shareholder loan account.
  • Year-end trial balance, balance sheet and profit and loss.
  • Copies of returns filed and licence renewal documents.

Worked example: keep or close?

A Dubai holding company has been inactive for two years. Each year the owner pays roughly AED 12,000 for licence renewal and registered office, AED 6,000 for financial statements and AED 3,000 for return preparation. That is AED 21,000 a year to keep the company available.

If there is a real plan to use it within a year, perhaps for a deal that needs an established entity, AED 21,000 may be worth it. If not, the owner should price a liquidation and deregistration. Closing has its own costs and steps, but it stops the yearly spend and the risk of missed filings.

How HelloBooks handles a quiet company

Keeping a dormant company in HelloBooks takes minutes a quarter. Upload the bank statement, let the AI agent match the few lines, and approve. Ask “what has the owner paid for this company this year?” to get the loan balance. Year-end statements come straight from the ledger for your accountant to review.

The decision to deregister or liquidate belongs with you and your advisers. HelloBooks does not file returns; you or your accountant file on EmaraTax.

FAQ

Frequently asked questions

Do I need to file a corporate tax return with zero income?
Yes, if the company is registered. The return is due within nine months of the tax period end whether or not tax is payable.
Can I stop filing VAT returns if I made no sales?
No. File nil returns until the FTA approves deregistration.
Does a dormant company need an audit?
It depends on the licensing authority and the company’s tax position. Some free zones accept simplified statements for small or inactive companies; check your zone’s rules.
