1.   INTRODUCTION

Welcome to HelloBooks (the “Service”), provided by Meru Technosoft (“we,” “us,” “our”) whose registered office is “4th floor, Aarya Arcade, Netaji Rd, Mithakhali, Navrangpura, Ahmedabad, Gujarat 380009”.

These Terms of Service (“Terms”) govern your access to and use of the Service. By using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. DESCRIPTION OF SERVICE

HelloBooks is a cloud-based, AI-enabled accounting assistant designed for small-to-medium businesses, bookkeepers, and accountants. The Service automates:

  • bookkeeping (transaction categorization, duplicate detection);
  • invoicing and quotes with online payment links;
  • receipt capture and document management;
  • automatic bank feed import and reconciliation;
  • generation of financial statements and compliance reports;
  • integrations via a public API and marketplace add-ons.

3. ELIGIBILITY

The Service is available to persons aged 18 years or older and to legally organized business entities in regions where HelloBooks operates. By using the Service, you confirm you meet these criteria and—if acting for a business—that you have authority to bind that entity.

4. USER ACCOUNTS

4.1 Account creation – You must register and provide accurate, current, and complete information.

4.2 Account security – You are responsible for safeguarding credentials and all activity under your account; enable multi-factor authentication where offered.

4.3 Business representation – If you act for a company or organization, you warrant that you are authorized to do so.

4.4 Suspension or termination – We may suspend or close an account, with notice where practicable, for breach of these Terms, non-payment, security risk, or legal requirement.

5. SUBSCRIPTION AND PRICING

5.1 Plans – HelloBooks offers monthly and annual plans plus an Enterprise tier with custom data region and AI model options.

5.2 Payment terms – Fees are billed via Stripe or Razorpay in INR (or the currency shown). All fees are nonrefundable except as required by law or stated in a separate Cancellation & Refund Policy.

5.3 Automatic renewal – Subscriptions renew unless canceled at least three (3) calendar days before the end of the current term.

5.4 Price changes – We will provide 30 days’ advance notice of fee changes by email or in-app banner.

5.5 Late payment – Access may be suspended seven (7) days after a failed payment attempt.

6. DATA HANDLING

6.1 Data storage – Client data is hosted in AWS data centers located in Mumbai, India. Enterprise customers may request data pinning to Bahrain, Frankfurt, or Sydney (subject to availability).

6.2 Security measures – AES 256 encryption at rest, TLS 1.2+ in transit, role-based access control, optional MFA, device management dashboard, new login alerts, and annual penetration testing.

6.3 Access / correction / deletion – You may access, correct, or delete personal data through Settings → Organization → Data Controls or by emailing [email protected]. Deleted data remains recoverable for thirty (30) days and is then permanently removed.

6.4 Post-cancellation retention – Following subscription cancellation, we retain data for thirty (30) days to allow export or reactivation, unless a longer period is required by law.

7. YOUR RESPONSIBILITY

  • Maintain compliance with tax and reporting laws.
  • Review AI-generated outputs before filing or decision-making.
  • Keep original source documents.
  • Do not rely on HelloBooks for legal, audit, or tax advice.

8. PROHIBITED ACTIVITIES

You agree not to:

  • violate any law or regulation;
  • infringe intellectual property or privacy rights;
  • upload malware or interfere with security;
  • attempt unauthorized access to the Service;
  • use the Service for fraudulent, defamatory, or illegal purposes;
  • scrape or mine data without prior written consent.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Our rights – The Service, its software, content, and branding are the exclusive property of Meru Technosoft and its licensors.

9.2 Your rights – You retain ownership of any data you input. You grant us a worldwide, royalty-free license to host, back up, process, and transmit that data as needed to operate and improve the Service.

10. LIMITATIONS OF LIABILITY

To the maximum extent permitted by law, HelloBooks’ total aggregate liability is limited to the lesser of (a) fees paid in the prior 12 months or (b) INR 50,000. We are not liable for indirect, incidental, consequential, or punitive damages. 

11.  INDEMNIFICATION

You agree to indemnify and hold harmless Meru Technosoft, its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your data, or your breach of these Terms.

12.  MODIFICATIONS TO SERVICE OR TERMS

We may modify or discontinue features or these Terms at any time. Material changes take effect thirty (30) days after notice (email or inapp). Continued use after the effective date constitutes acceptance.

13. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Republic of India. Disputes shall be resolved by binding arbitration in Ahmedabad, Gujarat, under the Arbitration & Conciliation Act 1996. Either party may seek interim injunctive relief in a court of competent jurisdiction.
